Terms of Service for Candidate Referrals

These Terms apply to any candidate information provided by JennMueller, LLC. By accessing or using any materials we send, you agree to these terms.

1. Acceptance of Terms By receiving, opening, viewing, downloading, or otherwise using any candidate resumes, profiles, contact information, or related materials provided by JennMueller, LLC ("Company"), you and your organization (and any affiliates, subsidiaries, or related entities) expressly agree to be bound by these Terms of Service. If you do not agree, you must immediately delete all materials and notify us. Any continued use or engagement of a presented candidate constitutes acceptance.

2. Definitions

  • Candidate: Any individual whose information we provide or introduce to you.

  • Referral/Introduction Date: The date we first send or identify the Candidate to you.

  • First-Year Base Salary: The candidate’s annualized base salary in the first 12 months of employment or engagement. This excludes bonuses, commissions, equity grants, benefits, or any other compensation.

3. Placement Fee and Candidate Ownership We act as the source of introduction for any Candidate we refer. If you or any affiliate hires, engages (full-time, part-time, contract, or otherwise), or refers the Candidate to another party within 12 months of the Referral Date—regardless of the position or whether you had prior knowledge of the Candidate—you agree to pay the Company a placement fee of 25% of the Candidate’s first-year base salary.

The fee is earned upon the Candidate’s acceptance of an offer and is due and payable within 15 days of the start date or invoice date, whichever is later. Late payments accrue interest at 1.5% per month. This obligation applies even if the Candidate applies directly or is sourced through another channel after our introduction.

4. Confidentiality and Non-Circumvention All candidate information is confidential and for your internal review only. You agree not to contact any Candidate directly, share the information with third parties, or circumvent our involvement in any hiring process without our prior written consent.

5. Payment Terms We will issue an invoice promptly upon the Candidate’s start date. Payment must be made via [ACH/wire/check] to the details provided. You acknowledge that this fee structure applies uniformly across healthcare, revenue cycle management, and all other industries in which we provide referrals.

6. Guarantee (Optional – Add if you offer one) If the Candidate leaves for performance reasons within the first [30/60/90] days and you have paid the fee in full, we will provide a replacement search at no additional fee, subject to mutual agreement on requirements.

7. Governing Law These Terms are governed by the laws of the State of Georgia. Any disputes shall be resolved exclusively in the courts of [your county, e.g., Fulton County], Georgia. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

8. Miscellaneous

  • These Terms constitute the entire agreement regarding candidate referrals.

  • We may update these Terms; continued use after updates constitutes acceptance.

  • If any provision is held invalid, the remainder remains in effect.
